TERMS-001 Version 1.0 is hereby designated as the active Terms of Service for Cognispace, LLC, effective as of the date listed in Document Control. All future revisions must be versioned and recorded in the revision history. Unless explicitly superseded by a later release, this version governs the legal relationship between Cognispace and all users and customers of the Services.

Terms of Service
Cognispace, LLC (“Cognispace,” “we,” “our,” or “us”) operates cloud-based platforms, analytical systems, and enterprise tools that support structured analysis, interpretive workflows, and human-centered expression. These Terms of Service govern your access to and use of all such offerings.
Please read these Terms carefully before using the Services. They contain important information about your rights, obligations, and the limitations of our liability.
Acceptance of Terms
These Terms of Service constitute a legally binding agreement between you and Cognispace, LLC. By accessing or using our websites, software platforms, APIs, enterprise workspaces, research and analytical systems, customer support channels, and related offerings (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
1.1 Legal Capacity
By accepting these Terms, you represent that you are at least 18 years of age, have the legal capacity to enter into binding agreements in your jurisdiction, and are not barred from receiving services under applicable law.
1.2 Organizational Authority
If you are accessing the Services on behalf of an organization — including a company, institution, or enterprise customer — you represent that you have authority to bind that organization to these Terms. In that context, “you” refers to both you individually and the organization you represent.
1.3 Updates to Terms
Cognispace may update these Terms from time to time. When material changes are made, we will update the effective date and provide notice through the Services, email, or administrative notification where reasonably appropriate. Continued use of the Services after the updated effective date constitutes acceptance of the revised Terms to the extent permitted by applicable law.
Scope of Services
Cognispace provides a suite of cloud-based platforms, tools, and systems designed to support structured analysis, interpretive workflows, enterprise intelligence, and human-centered expression systems. The specific features, capabilities, and availability of the Services may vary by subscription plan, enterprise agreement, and geographic region. The Services include, without limitation:
- Cognispace websites and public-facing web properties
- Software platforms and applications
- APIs, SDKs, and third-party integration capabilities
- Enterprise workspaces, collaboration environments, and administrative systems
- Research, analytical, and interpretive tools and workflows
- Customer support, service desk, and communications channels
Cognispace reserves the right to modify, suspend, or discontinue any feature, component, or version of the Services at any time with reasonable notice where commercially practicable.
Accounts and Access
3.1 User Responsibilities
You are responsible for maintaining the confidentiality of your account credentials, including usernames, passwords, API keys, and access tokens. You agree to take reasonable steps to prevent unauthorized access to your account and to notify Cognispace promptly if you suspect any unauthorized use or security breach.
3.2 Credential Security
You must not share account credentials with unauthorized parties. Cognispace is not liable for losses or damages arising from your failure to maintain credential confidentiality. You accept full responsibility for all activity that occurs under your account, whether or not authorized by you.
3.3 Account Ownership
Accounts are created for specific individuals or organizations. Account ownership and associated data belong to the registered account holder or, in the case of enterprise-managed environments, to the enterprise customer as defined in the applicable agreement.
3.4 Enterprise-Managed Access
Where you access the Services through an employer, institution, or enterprise-managed environment, your access may be governed by the policies, permissions, and controls established by the enterprise administrator. Enterprise customers bear responsibility for managing user access within their workspace, including provisioning, deprovisioning, and permission assignments.
3.5 Suspension and Termination Rights
Cognispace reserves the right to suspend or terminate accounts at its reasonable discretion in connection with violations of these Terms, suspected fraud, security risk, non-payment, or legal obligation. Where reasonably practicable, Cognispace will provide advance notice prior to suspension or termination, except where immediate action is required to protect the Services, other users, or legal compliance.
Acceptable Use
You agree to use the Services only for lawful purposes and in a manner consistent with these Terms, applicable law, and Cognispace’s published guidelines. You bear full responsibility for your use of the Services and any content you submit, transmit, or generate through them.
4.1 Prohibited Conduct
You may not use the Services to:
- Engage in any activity that violates applicable local, national, or international law or regulation
- Harass, abuse, threaten, defame, or otherwise harm any individual or group
- Conduct unauthorized surveillance, tracking, monitoring, or profiling of any person
- Collect, process, or transmit personal information in violation of applicable privacy law or without lawful authorization
- Build, operate, or support discrimination workflows targeting individuals based on protected characteristics
- Attempt unauthorized access to, or disruption of, any system, network, or account
- Launch credential attacks, brute-force attempts, phishing campaigns, or any form of account compromise activity
- Deploy malicious automation, bots, scripts, or agents that interfere with the Services or other users
- Reverse engineer, decompile, disassemble, or attempt to extract source code, models, or proprietary algorithms from the Services
- Abuse, manipulate, or systematically probe analytical or interpretive systems in ways that degrade performance or extract proprietary model behavior
- Scrape, harvest, or systematically extract data from the Services beyond what is expressly authorized
- Impersonate any person, organization, or entity, or falsely represent affiliation with Cognispace
- Transmit malware, ransomware, viruses, or any code designed to damage, interfere with, or gain unauthorized access to systems
4.2 Enforcement
Cognispace reserves the right to investigate suspected violations and to take appropriate action, including content removal, account suspension, termination, and referral to law enforcement where warranted.
User Content and Rights
5.1 User Ownership
You retain ownership of the content, data, and materials you submit, upload, or create through the Services (“User Content”). These Terms do not transfer ownership of User Content to Cognispace.
5.2 Limited License to Process
By submitting User Content through the Services, you grant Cognispace a limited, non-exclusive, worldwide license to access, store, process, reproduce, and use that content solely as necessary to provide, maintain, improve, and support the Services you have requested. This license terminates upon deletion of the content or termination of your account, subject to retention obligations described in the Privacy Policy.
5.3 Rights and Authority Warranty
You represent and warrant that you have all rights, licenses, consents, and authority necessary to submit User Content to the Services, and that your submission and Cognispace’s processing of that content does not violate any applicable law, regulation, contractual obligation, or third-party right.
5.4 Enterprise Content Controls
Enterprise customers may establish workspace-level controls governing the creation, access, retention, and deletion of User Content within their managed environments. Users operating within enterprise-managed workspaces are subject to both these Terms and any applicable enterprise policies.
5.5 Collaborative Content
Content created or shared within collaborative workspace environments may be accessible to other authorized workspace members in accordance with permissions established by the workspace administrator. Cognispace is not responsible for decisions made by administrators or workspace members regarding content access and sharing.
Analytical and Interpretive Outputs
Certain Services may generate analytical, structural, or model-assisted outputs derived from User Content, workflow activity, or system interactions. These outputs are designed to support informed human review, enterprise decision support, and research workflows.
6.1 Descriptive Nature of Outputs
All outputs produced by the Services are descriptive, contextual, and probabilistic in nature. They represent system-generated observations and interpretations, not definitive determinations of fact. Outputs may be incomplete, uncertain, or subject to error.
6.2 Prohibited Reliance
Outputs produced by the Services must not be used as the sole or primary basis for:
- Clinical diagnosis, psychological assessment, or medical decision-making of any kind
- Employment-related decisions, including hiring, termination, promotion, or disciplinary action
- Legal determinations, sentencing, punitive scoring, or adjudication
- Identity classification, categorical profiling, or determinations of protected characteristics
- High-stakes decisions affecting individual rights, safety, or welfare without qualified human review
6.3 Human Review Requirement
Users and enterprise customers are responsible for ensuring that qualified human judgment is applied before relying on any interpretive output for consequential decisions. Cognispace expressly discourages automated or unreviewed reliance on system outputs in contexts where individual rights, professional obligations, or legal compliance are at stake.
6.4 Alignment with Framework Boundaries
These limitations reflect Cognispace’s foundational commitment to human-centered, non-clinical, and interpretively bounded systems. Outputs are intended to augment human understanding, not to replace it.
Intellectual Property
7.1 Cognispace Ownership
Cognispace and its licensors retain all right, title, and interest in and to the Services, including all underlying software, source code, algorithms, models, systems architecture, databases, and technical infrastructure. Nothing in these Terms grants you any ownership interest in the Services or their underlying components.
7.2 Framework and Methodology
The interpretive frameworks, methodological systems, analytical architectures, and governance structures developed and maintained by Cognispace constitute proprietary intellectual property. No license to use, reproduce, or distribute any such framework or methodology is granted except as expressly provided in a written agreement with Cognispace.
7.3 Site Content and Branding
All website content, marketing materials, documentation, visual design, trademarks, service marks, logos, and trade dress associated with Cognispace are protected by applicable intellectual property law. You may not use any Cognispace brand elements without prior written authorization.
7.4 Derivative Works
You may not create derivative works based on the Services, underlying systems, or proprietary framework materials without express written authorization from Cognispace.
7.5 Feedback
If you submit feedback, suggestions, or ideas regarding the Services, you grant Cognispace a perpetual, royalty-free, irrevocable license to use that feedback without restriction or compensation.
Fees and Billing
8.1 Subscriptions and Pricing
Access to certain features of the Services requires a paid subscription. Applicable fees are set forth in the order form, subscription agreement, or pricing schedule associated with your account or enterprise agreement. Fees are subject to change with reasonable advance notice.
8.2 Invoicing and Payment
Unless otherwise specified in your agreement, fees are due in advance of the applicable billing period. Cognispace may use third-party payment processors to facilitate billing. You authorize Cognispace and its designated processors to charge the payment method on file for applicable fees.
8.3 Renewals
Subscriptions automatically renew at the end of each billing period unless cancelled in accordance with the cancellation terms specified in your agreement or account settings.
8.4 Taxes
Fees are exclusive of applicable taxes, levies, and duties unless otherwise stated. You are responsible for all applicable taxes associated with your use of the Services, excluding taxes on Cognispace’s net income.
8.5 Non-Payment
Failure to pay applicable fees may result in suspension of access to the Services. Cognispace reserves the right to pursue collection of unpaid amounts through available legal means. Disputed charges must be raised in writing within thirty (30) days of the invoice date.
Termination
9.1 Termination by You
You may terminate your account at any time by following the account closure process in the Services or by contacting Cognispace through designated support channels. Termination does not relieve you of any obligations accrued prior to the termination date, including unpaid fees.
9.2 Termination by Cognispace
Cognispace may terminate or suspend your access to the Services, in whole or in part, for: material breach of these Terms; suspected fraud, misrepresentation, or misuse; unauthorized access or security threat; non-payment of applicable fees; legal obligation or regulatory requirement; or conduct that poses risk to the Services, other users, or third parties.
9.3 Effect of Termination
Upon termination, your right to access the Services ceases immediately. Cognispace will handle User Content in accordance with the Privacy Policy and any applicable enterprise agreement. Provisions of these Terms that by their nature should survive termination — including intellectual property rights, limitation of liability, indemnification, and governing law — will remain in effect.
Warranty Disclaimer
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COGNISPACE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Cognispace does not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components. Cognispace does not warrant the accuracy, completeness, reliability, or suitability of any output, content, or information generated through the Services. You use the Services at your own risk.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL COGNISPACE, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES — INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES — EVEN IF COGNISPACE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COGNISPACE’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO COGNISPACE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100.00).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, the above disclaimers and limitations apply only to the fullest extent permitted by applicable law.
Indemnification
You agree to defend, indemnify, and hold harmless Cognispace, its affiliates, and their respective directors, officers, employees, contractors, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses — including reasonable legal fees — arising out of or related to:
- Your use of the Services in violation of these Terms
- Your submission of User Content that infringes third-party rights or violates applicable law
- Your violation of any applicable law, regulation, or contractual obligation
- Claims brought by your end users, employees, contractors, or enterprise members arising from your administration of the Services
- Any misrepresentation made by you in connection with these Terms
Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
13.2 Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally will be subject to binding arbitration administered under the rules of a mutually agreed arbitration authority, conducted in English. Each party waives any right to a jury trial in connection with any dispute under these Terms.
13.3 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from a court of competent jurisdiction to protect intellectual property rights or to prevent irreparable harm, without waiving the right to arbitration for all other claims.
13.4 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted on an individual basis only. You may not bring or participate in any class, collective, or representative action against Cognispace in connection with your use of the Services.
